Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TechHive Labs LLC, a Texas limited liability company ("TechHive Labs," "we," "us," or "our"), governing your access to and use of the Notery platform, including the website at notery.dev, the REST API, the MCP server, and any related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
To use the Service, you must create an account by providing a valid email address and password. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately at [email protected] if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.
4. The Service
Notery is a documentation platform that allows you to create, organize, and search markdown notes and code files. The Service includes:
- A web-based editor and file management interface.
- Semantic search powered by AI embeddings.
- A REST API and MCP server for programmatic access.
- Integration with AI coding assistants via skills and the MCP protocol.
5. Your Content
"Your Content" means all documents, text, code, files, and other materials you upload, create, or store through the Service.
- Ownership. You retain all ownership rights to Your Content. We do not claim any intellectual property rights over your materials.
- License to us. By uploading Your Content, you grant us a limited, non-exclusive license to store, process, display, and transmit Your Content solely for the purpose of providing the Service to you. This includes generating embeddings for search functionality.
- Responsibility. You are solely responsible for Your Content, including its legality, accuracy, and appropriateness. You represent that you have all rights necessary to upload and share Your Content.
6. Paid Plans and Billing
Notery offers free and paid subscription plans. If you subscribe to a paid plan:
- Billing is handled by Stripe. By subscribing, you agree to Stripe's terms of service.
- Subscriptions renew automatically at the end of each billing period unless canceled.
- You may cancel your subscription at any time from your workspace settings. Cancellation takes effect at the end of the current billing period.
- We do not offer refunds for partial billing periods, except as required by applicable law.
- We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current billing period.
7. API Keys and Programmatic Access
API keys grant programmatic access to Your Content through the REST API and MCP server. You are responsible for:
- Keeping API keys confidential and secure.
- All activity performed using your API keys.
- Revoking compromised keys immediately.
We reserve the right to rate-limit or suspend API access to protect the Service and other users.
8. Prohibited Conduct
You agree not to use the Service in violation of our Acceptable Use Policy. We reserve the right to suspend or terminate accounts that engage in prohibited conduct without prior notice.
9. Third-Party Services
The Service integrates with third-party providers to deliver its functionality:
- Stripe for payment processing.
- Cohere for generating document embeddings used in semantic search.
- Neon for database hosting.
- Umami for privacy-friendly, cookieless analytics.
Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the practices of third-party services.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Service at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHHIVE LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless TechHive Labs LLC and its officers, members, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.
13. Termination
You may delete your account at any time from your workspace settings. We may suspend or terminate your account at our discretion if you violate these Terms.
Upon termination, your right to access the Service ceases immediately. We may retain Your Content for a reasonable period to allow you to export your data, after which it will be permanently deleted. You may request immediate deletion by contacting [email protected].
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
